1. Agreement to Terms
Welcome to Tegendo.AI. These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an organization, referred to herein as "you" or "Customer") and Tegendo.AI LLC ("Tegendo," "we," "us," or "our"), governing your access to and use of the Tegendo.AI platform located at tegendo.ai and all associated sub-domains, applications, APIs, and services (collectively, the "Service").
By creating an account, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "Customer" shall refer to that entity. If you do not agree to these Terms, you must not access or use the Service.
2. Service Description
Tegendo.AI is a multi-model artificial intelligence platform designed for organizations. The Service provides a unified interface for accessing and managing multiple AI foundation models, including but not limited to those provided by Anthropic (Claude), OpenAI (GPT), and Google (Gemini). The platform enables organizational governance, cost management, audit logging, role-based access control, and customizable AI workflows across teams.
The Service may be accessed through our web application, APIs, or any other interfaces we make available. Features, models, and capabilities may vary by subscription plan and are subject to change as we continue to develop and improve the platform. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice for material changes.
3. Account Terms
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@tegendo.ai if you become aware of any unauthorized use of your account.
Each organization on Tegendo.AI has one or more designated administrators ("Admins") who are responsible for managing organization settings, member access, billing, and compliance with these Terms. Admins bear responsibility for the actions of all members within their organization. The individual who creates the organization account is the initial owner and Admin unless otherwise designated.
You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement. We do not knowingly provide the Service to individuals under 18 years of age.
4. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and these Terms. You shall not, and shall not permit any third party to:
- Use the Service for any illegal, fraudulent, or harmful purpose, including but not limited to generating content that violates applicable laws or regulations.
- Attempt to circumvent, disable, or interfere with any safety mechanisms, content filters, rate limits, or security features of the Service or any underlying AI models.
- Use the Service to harass, abuse, threaten, or harm others, or to generate content that is defamatory, obscene, or promotes violence, hatred, or discrimination.
- Scrape, crawl, or use automated means to extract data from the Service, except through our official APIs in accordance with your plan limits and our API documentation.
- Use the Service or any output from the Service to build, train, or improve a competing product or service, including any AI or machine learning model that competes with Tegendo.AI.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
- Misrepresent AI-generated output as human-created work in contexts where such distinction is legally or ethically required.
We reserve the right to investigate and take appropriate action against any violation of this Acceptable Use Policy, including suspension or termination of your account without prior notice.
5. AI Output Disclaimer
The Service utilizes third-party AI foundation models to generate responses, content, and other outputs ("AI Outputs"). AI Outputs are generated probabilistically and are not guaranteed to be accurate, complete, current, reliable, or error-free. AI models may produce outputs that contain factual errors, biases, hallucinations, or omissions.
You are solely responsible for reviewing, validating, and verifying all AI Outputs before relying upon or acting on them. AI Outputs do not constitute professional advice of any kind. You must not rely on AI Outputs for medical, legal, financial, tax, engineering, safety, or other professional decisions without obtaining independent verification from qualified professionals in the relevant field.
Tegendo.AI makes no representations or warranties regarding the accuracy, reliability, or suitability of AI Outputs for any particular purpose. We disclaim all liability for any damages arising from your use of or reliance on AI Outputs.
6. Data Ownership
You retain all right, title, and interest in and to any data, content, prompts, documents, or other materials you submit to the Service ("Customer Data"). Tegendo does not claim ownership of Customer Data.
You grant Tegendo a limited, non-exclusive, worldwide license to process, transmit, and store Customer Data solely for the purpose of providing and operating the Service in accordance with these Terms and our Privacy Policy. This license terminates when Customer Data is deleted from the Service.
Tegendo does not use Customer Data to train, fine-tune, or improve AI models, whether our own or those of third-party providers. Customer Data is processed for service delivery only. We may generate and use anonymized, aggregated usage statistics (such as total token counts or model usage distributions) for the purpose of improving our platform and business operations, provided such data cannot be used to identify any individual user or organization.
7. BYOK Terms
Tegendo.AI offers a "Bring Your Own Key" ("BYOK") mode that allows you to configure the Service to use your own API keys for third-party AI model providers (e.g., Anthropic, OpenAI, Google). When using BYOK mode:
- You are solely responsible for all costs, fees, and charges incurred through the use of your API keys, including any overage or usage charges imposed by the respective AI provider.
- You must comply with the terms of service, acceptable use policies, and usage policies of each AI provider whose keys you use through the Service.
- Tegendo is not liable for any charges, billing disputes, or service interruptions related to your third-party API keys.
- You are responsible for the security and rotation of your API keys. Tegendo encrypts stored API keys using AES-256 encryption, but you acknowledge that no security measure is absolute.
- If a provider modifies their API, pricing, or terms, you are responsible for any resulting changes to your usage or costs.
8. Managed Mode
In Managed Mode, Tegendo provides access to AI models through our own API infrastructure. Usage is measured in credits, which are consumed at the rates published on our pricing page or as specified in your subscription agreement.
Credit consumption rates may vary by model, request type, and token count. We will provide at least 14 days' notice before any rate changes take effect for existing subscribers. Organization administrators can set usage limits, alerts, and overage policies through the admin dashboard to manage team spending.
If your organization exceeds its credit allocation, additional usage will be handled according to the overage policy configured by your administrator. This may include automatic top-up, throttling to lower models, or temporary suspension of access until the next billing cycle or manual credit purchase.
9. Payment Terms
Paid subscription plans are billed in advance on a monthly or annual basis, depending on the plan selected at the time of purchase. All fees are quoted in United States Dollars (USD) unless otherwise stated. Payment is processed through our third-party payment processor, Stripe, and you agree to Stripe's terms of service in connection with any payments.
For annual plans, if you cancel before the end of your annual term, you are eligible for a prorated refund based on the number of full months remaining in your term. For monthly plans, no refunds are provided for partial months. Refund requests must be submitted to billing@tegendo.ai within 30 days of the charge.
If payment fails or is overdue, we will provide written notice and a grace period of 15 days to resolve the payment issue. If payment is not received within the grace period, we reserve the right to suspend or downgrade your account until the outstanding balance is resolved. We may charge interest on overdue amounts at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower.
10. Intellectual Property
The Service, including its design, architecture, user interface, documentation, logos, trademarks, and all underlying technology (collectively, "Tegendo IP"), is and remains the exclusive property of Tegendo.AI LLC and its licensors. These Terms do not grant you any right, title, or interest in Tegendo IP except for the limited right to access and use the Service in accordance with these Terms.
Subject to your compliance with these Terms, Tegendo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term for your internal business purposes. You own the content you create using the Service, subject to any rights or restrictions of the underlying AI model providers.
If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.
11. Privacy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understand our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to consent to data processing as described in our Privacy Policy on behalf of that organization.

12. Uptime
Tegendo uses commercially reasonable efforts to ensure the Service is available and performant. However, the Service is provided on an "as-is" and "as-available" basis, and we do not guarantee any specific level of uptime, availability, or response time outside of a separate Enterprise Service Level Agreement ("SLA").
The Service may experience periods of downtime due to scheduled maintenance, infrastructure updates, third-party provider outages, or other factors beyond our reasonable control. We will endeavor to provide advance notice for planned maintenance. Customers on our Enterprise plan may negotiate formal SLA commitments with defined uptime guarantees and service credits.
13. Termination
Either party may terminate these Terms at any time by providing 30 days' written notice to the other party. You may terminate your account by contacting us at support@tegendo.ai or through your account settings. We may terminate or suspend your access immediately if you breach these Terms or our Acceptable Use Policy.
Upon termination, your right to access and use the Service will cease immediately. Your Customer Data will be available for export for a period of 30 days following termination. After this 30-day period, we will delete your Customer Data from our active systems, except as required by law or as necessary to resolve disputes. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to Sections 5, 6, 10, 14, 15, and 16.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEGENDO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF TEGENDO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEGENDO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO TEGENDO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, TEGENDO'S MAXIMUM LIABILITY SHALL BE ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Tegendo, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
Tegendo agrees to indemnify, defend, and hold harmless you from and against any third-party claims alleging that the Service, as provided by Tegendo, infringes the intellectual property rights of a third party, provided that such infringement is not caused by your Customer Data, your modifications, or your use of the Service in combination with products or services not provided by Tegendo. This mutual indemnification is subject to the indemnified party providing prompt written notice, reasonable cooperation, and sole control of the defense to the indemnifying party.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of New Jersey, and each party irrevocably consents to the personal jurisdiction and venue of such courts.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
17. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to the address associated with your account, a prominent notice on the Service, or both. Non-material changes (such as typographical corrections or formatting changes) may be made without advance notice.
Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service before the changes take effect and may request account termination in accordance with Section 13.
